1. Agreement

By accessing this website, using AlphaCorp AI Academy, or engaging AlphaCorp AI (a trade name of Ignas Vaitukaitis e CIA LTDA, registered in Rio de Janeiro, Brazil) for services, you agree to be bound by these Terms of Service. If you do not agree, do not use this website or our services.

2. Services

AlphaCorp AI provides custom software development, AI agent engineering, RAG pipeline development, model fine-tuning, prompt engineering, MLOps, integration audits, and related consulting services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate project agreement or statement of work (SOW) signed by both parties.

3. AlphaCorp AI Academy

AlphaCorp AI Academy, at education.alphacorp.ai, is our online learning platform: short AI courses to read, watch or listen to, with quizzes, an AI tutor and certificates. This section applies to it together with the rest of these terms.

• Accounts: you must be at least 18 and use a real email address. An account is for one person, so do not share your sign-in. You are responsible for what happens under your account.
• Free and paid access: the first lesson of every course is free. A subscription unlocks every course for as long as it is active.
• Subscription and billing: the subscription costs US$10 a month, or R$30 a month in Brazil, as shown before you pay. It is charged in advance through Stripe and renews automatically every month until you cancel. If we change the price, we will email you at least 30 days before it applies, and you can cancel before then.
• Cancelling: you can cancel at any time from your account. You keep access until the end of the month you have paid for and are not charged again.
• Refunds and your right to withdraw: if you change your mind, write to us within 14 days of your first subscription payment and we will refund it in full. This includes the 7-day right of withdrawal under Brazil's Consumer Defense Code (article 49) and the 14-day right of withdrawal in the European Union. After that, months already started are not refunded, except where the law requires it.
• Team plans: whoever buys a team plan does so for their organization and becomes the team's admin. A team plan has 2 to 100 seats, each billed at the monthly price. When seats are added or removed, Stripe adjusts the charge for the rest of the month. The admin can invite and remove members and can see each member's progress as described in our Privacy Policy. A member's access ends when they leave or are removed, or when the team plan ends.
• AI tutor: the tutor's answers are written by an AI model and can be wrong, so check anything important. There is a daily question limit. Do not put confidential, personal or client data in your questions.
• Course content: the lessons, videos, audio, quizzes and ebooks belong to AlphaCorp AI or its licensors. You may use them for your own learning, and team members for their work. You may not copy, resell, publish or share them, scrape them, or use them to train AI models.
• Certificates: a certificate shows that you completed a course on AlphaCorp AI Academy. It is not an accredited qualification. Anyone with its link can view it. We may cancel a certificate obtained by abusing the platform.
• Educational information: the courses are general education about AI at work, not legal, financial or other professional advice. AI tools and rules change quickly, so check current facts before you rely on them.
• Changes and suspension: we may update, add or retire lessons and courses. We may suspend or close an account that breaks these terms, for example by sharing a sign-in or abusing the tutor, and we will tell you why.
• Your rights as a consumer: nothing in these terms limits the rights you have as a consumer under the law of the country where you live. For Academy subscriptions, our total liability is limited to what you paid us in the 12 months before the claim, except where the law does not allow such a limit.

4. Intellectual Property

Upon full payment, the client receives ownership of all custom code, models, and deliverables created specifically for that engagement. AlphaCorp AI retains the right to reuse general-purpose methodologies, tools, libraries, and frameworks developed independently or prior to the engagement. Any open-source software used remains subject to its original license terms.

5. Confidentiality

Both parties agree to treat all non-public information exchanged during an engagement as confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of two (2) years.

6. Payment Terms

Payment terms, schedules, and methods are specified in each project agreement. Invoices are due within the timeframe stated in the agreement. AlphaCorp AI reserves the right to suspend or terminate work on any project with payments overdue by more than 15 days. Late payments may incur interest at the rate of 1% per month, or the maximum rate permitted by applicable law.

7. Self-Assessment Tests

The AI Readiness Test and the AI Fluency Test on this website give a score and general guidance based only on the answers you enter. The results are general information. They are not professional, legal, financial, or technical advice, and AlphaCorp AI makes no warranty that acting on them will produce a particular outcome.

8. Acceptable Use

You agree not to use this website to:

• Submit unlawful, harmful, threatening, abusive, or otherwise objectionable content.
• Attempt to extract proprietary information, reverse-engineer systems, or circumvent security measures.
• Interfere with the website's operation or impose an unreasonable load on our infrastructure.
• Use automated tools in a way that ignores our robots.txt file, floods our forms, or otherwise abuses the website. Search engines, AI crawlers, and other crawlers that follow robots.txt are welcome.

9. Warranty Disclaimer

This website and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AlphaCorp AI does not warrant that the website will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AlphaCorp AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of this website or our services. Our total aggregate liability for any claim related to a specific engagement shall not exceed the total fees paid by the client for that engagement.

11. Indemnification

You agree to indemnify and hold harmless AlphaCorp AI, its partners, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of this website, violation of these terms, or infringement of any third-party rights.

12. Termination

Either party may terminate a service engagement as specified in the applicable project agreement. In the absence of specific termination terms, either party may terminate with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. AlphaCorp AI reserves the right to suspend access to this website at any time without notice.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these terms due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, pandemics, power outages, internet disruptions, or cyberattacks.

14. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from or relating to these terms shall be submitted to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.

15. Changes to These Terms

We may revise these terms at any time by updating this page. Material changes will be reflected in the "Last updated" date. Your continued use of this website or our services after changes are posted constitutes acceptance of the revised terms.
